Engagement Platform

This platform allows companies to proactively and directly distribute IR/SR information to institutional shareholders’ governance and proxy teams. This is a closed platform which can only be accessed by institutional shareholders and on which companies can publish reports such as convocation and other AGM related notices, corporate governance reports, SR road show materials and other such publications which may affect the passing of an issuer’s proposal. Materials published on the platform will also be immediately e-mailed to institutional shareholders (proxy teams). Approximately 100 companies with a market cap of over ¥1 trillion are already utilizing this platform.

Distinctive Features of the Engagement Platform

  • Proactive SR engagement
Important ESG information including Integrated Reports is distributed to buy side institutional investors.
  • An effective approach to reducing risk of a proposal being rejected at the Shareholders’ Meeting
When ISS recommends an against vote for a particular proposal it is possible to reduce the risk of the proposal getting rejected by creating a rebuttal letter and distributing it to your company’s institutional shareholders.
(Ex: ISS recommended voting against Trading Company A’s proposal to Elect an Outside Auditor. 30% of the votes are held by foreign investors so against votes resulted in reducing to less than 15%)
  • Establishment of a point of contact for engagement (dialogue)
Of course your SR department can serve as the main point of contact for investors however we can act as an intermediary between you and institutional investors for any SR engagements.
  • Interaction with passive investors
We are able to distribute company information even to passive investors. Due to the recent increase of passive investors’ holdings of stocks, it is essential that SR information reach these investors too.
